About the Organisation
NXT Pathway is a newly formed Community Interest Company (CIC) delivering community benefit programmes that support people at key life stages. Our work focuses on skills development, employability, confidence building, wellbeing and community connection.
The CIC is founder led operationally and is building a strong, independent governance structure in line with various funder requirements.
Purpose of the Role
We are seeking an Independent Non-Executive Director to strengthen governance, provide oversight and act as an independent safeguard for funders.
This role is non-executive and governance only. It is not involved in day to day delivery.
Key Responsibilities
Provide independent oversight and constructive challenge
Act in the best interests of the CIC and its community purpose
Attend and contribute to quarterly board meetings
Support compliance with Companies House, the CIC Regulator and funder requirements
Act as an authorised bank signatory, as required by grant funders
Review and approve key strategic decisions and policies
Uphold standards of accountability, transparency and integrity
Who We Are Looking For
We are looking for someone who:
Is independent (not related to, or financially dependent on, existing directors)
Is willing to be appointed as a Director on Companies House
Is comfortable acting as an independent bank signatory
Understands the difference between governance and operations
Can commit to a light touch role of approximately four meetings per year
Previous board experience is welcome but not essential. First time CIC or charity directors are encouraged to apply.

Education, employability or community services
Public sector, NHS, local authority or professional services
Charity or CIC board experience
Lived experience and a commitment to community benefit are highly valued.
Time Commitment and Term
Around four board meetings per year (approx. 1 hour each, therefore 4 hours in total)
Occasional ad-hoc document review
Initial 12 month term, with the option to extend by mutual agreement
Location
Meetings are primarily remote, with occasional in person meetings in the West Midlands if necessary and agreed.
Remuneration
This role is unpaid, in line with CIC regulations.
Reasonable out of pocket expenses are reimbursed where prior agrrements are made.
